These Terms of Use (“Terms”) govern your access to and use of aeccmos.com and its content, assessments, downloads, resources, and related features (collectively, the “Website”).

The Website is operated by Chipley Marketing, LLC, doing business as A/E/C CMOs (“A/E/C CMOs,” “we,” “us,” or “our”).

By accessing or using the Website, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Website.

1. Website Purpose

The Website provides general information concerning construction marketing, branding, business development, leadership, fractional CMO services, research, and related topics.

Website content is provided for educational and informational purposes. It is not legal, accounting, tax, financial, employment, engineering, architectural, safety, or other regulated professional advice.

2. No Client Relationship

Your use of the Website, submission of a contact form, completion of the Brand Grader, download of a resource, or communication with A/E/C CMOs does not create a client, advisory, fiduciary, employment, partnership, or other professional relationship.

A consulting relationship is created only through a separate written agreement signed or otherwise accepted by A/E/C CMOs and the client.

Do not send confidential or proprietary information through the Website unless we have specifically requested it. Information submitted before a consulting agreement is established may not be treated as confidential.

3. No Guarantee of Results

Marketing and business results depend on numerous factors outside our control, including market conditions, competition, budgets, leadership decisions, implementation, sales activity, reputation, staffing, and economic conditions.

Examples, research findings, assessment results, testimonials, case studies, projections, and discussions of potential outcomes do not guarantee that you or your organization will achieve the same or similar results.

4. Brand Grader and Assessments

The A/E/C CMOs Brand Grader and any other assessments available through the Website are intended to provide general educational insights. Results are based on the information submitted and the methodology used at the time of the assessment.

Assessment results:

  • Are not a complete evaluation of a company, brand, strategy, or marketing program.
  • Should not be treated as professional advice or a guarantee.
  • May change as methodologies, benchmarks, or available information evolve.
  • May contain limitations arising from incomplete, inaccurate, or subjective inputs.

You are responsible for determining whether and how to use assessment results.

5. Intellectual Property

Unless otherwise stated, the Website and its contents—including text, designs, graphics, photographs, videos, assessments, research, reports, methodologies, trademarks, service marks, trade names, downloads, and other materials—are owned by or licensed to A/E/C CMOs and are protected by intellectual-property laws.

A/E/C CMOs, Construction Marketing Officer™, Constructing Magnetic Brands, Magnetic Brand Score, Brand Grader, and related names, frameworks, graphics, and branding may be trademarks, service marks, proprietary methodologies, or other protected intellectual property of Chipley Marketing, LLC.

No right, title, or interest in our intellectual property is transferred to you through your use of the Website.

6. Permitted Use

We grant you a limited, revocable, nonexclusive, nontransferable license to access and use the Website and its publicly available resources for lawful personal or internal business purposes.

Unless we provide written permission, you may not:

  • Copy, reproduce, republish, sell, license, distribute, or commercially exploit Website content.
  • Present our content, research, frameworks, or assessments as your own.
  • Remove copyright, trademark, attribution, or proprietary notices.
  • Modify or create derivative commercial products from our resources.
  • Scrape, crawl, harvest, index, or systematically extract Website content or data.
  • Use Website content or data to develop, train, test, or improve an artificial-intelligence or machine-learning system.

A/E/C CMOs DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND RESULTS.

We do not warrant that the Website will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

Some jurisdictions do not permit the exclusion of certain warranties, so portions of this section may not apply to you.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CHIPLEY MARKETING, LLC, A/E/C CMOs, AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE WEBSITE OR THESE TERMS.

THIS INCLUDES LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, GOODWILL, OR REPUTATION, EVEN IF WE HAVE BEEN ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM OR RELATED TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. The amount you paid directly to us specifically for the Website feature giving rise to the claim during the six months before the claim arose; or
  2. One hundred U.S. dollars.

These limitations do not apply to liability that cannot legally be excluded or limited.

Any paid consulting services are governed by the applicable consulting agreement rather than this Website limitation.

14. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless Chipley Marketing, LLC, A/E/C CMOs, and their owners, officers, employees, contractors, representatives, and agents from claims, liabilities, losses, damages, and reasonable costs arising from:

  • Your unlawful or unauthorized use of the Website.
  • Your material violation of these Terms.
  • Content or information you submit.
  • Your infringement or violation of another party’s rights.

We reserve the right to control the defense of any matter subject to indemnification. You agree to reasonably cooperate with that defense.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Louisiana, without regard to conflict-of-law principles.

Unless applicable law requires otherwise, any legal proceeding arising from or related to the Website or these Terms must be brought exclusively in a state court of competent jurisdiction located in Jefferson Parish, Louisiana, or the United States District Court having jurisdiction over Jefferson Parish. You consent to the personal jurisdiction and venue of those courts.

Before filing a claim, you and A/E/C CMOs agree to make a reasonable good-faith effort to resolve the dispute informally.

16. Changes to These Terms

We may revise these Terms periodically. Updated Terms become effective when posted unless a different effective date is stated.

Your continued use of the Website after revised Terms become effective constitutes acceptance of the revised Terms.

17. Severability and Waiver

If any provision of these Terms is found unenforceable, that provision will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect.

Our failure to enforce a provision does not waive our right to enforce it later.

18. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and A/E/C CMOs concerning use of the Website. They do not replace or modify a separate written agreement for consulting or other paid services.

If a separate agreement conflicts with these Terms concerning paid services, the separate agreement controls.
